Terms of Use

1. Terms of Service
  PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, A CLAUSE THAT GOVERNS THE JURISDICTION AND VENUE OF DISPUTES, AND OBLIGATIONS TO COMPLY WITH APPLICABLE LAWS AND REGULATIONS.
  By using the Site, or Services, you agree to comply with and be legally bound by the terms and conditions of these Terms of Service (thereafter “Terms”), whether or not you become a registered user of the Services. These Terms govern your access to and use of the Site, Application and Services and all Content and constitute a binding legal agreement between you and LA Rent.
  In addition, certain areas of the Site and Application (and your access to or use of certain aspects of the Services or Content) may have different terms and conditions, standards, guidelines, or policies posted or may require you to agree with and accept additional terms and conditions.
  If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site, Application or Services. Failure to use the Site, Application or Services in accordance with these Terms may subject you to civil and criminal penalties.
  The Site, Application and Services comprise an online platform through which Listings are created for Accommodations, and Renters may learn about and book Accommodations.
  LA Rent reserves the right, at its sole discretion, to modify the Site, Application or Services or to modify these Terms at any time and without prior notice. We will update the “Last Updated” date at the top of these Terms. By continuing to access or use the Site, Application or Services after we have posted a modification on the Site, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to immediately cease using the Site, Application and Services.
  By accessing or using the Site, Application or Services you represent and warrant that you are 18 years old or older.
  User verification on the Internet is difficult and we cannot, and do not assume any responsibility for, the confirmation of each user’s purported identity. Any references in the Site, Application or Services to a Member being “verified” (or similar language) indicate that the Member has completed a relevant verification or identification process, and does not represent anything else.
  For transparency and fraud prevention purposes, and as permitted by applicable laws, we may, but have no obligation to (a) ask Members to provide a form of government identification, profile image, proof of ownership or other information (b) undertake additional checks and processes designed to help verify or check the identities or backgrounds of Members and/or screen Member information against third party databases or other sources (c) where we have sufficient information to identify a Member, obtain reports from public records of criminal convictions or sex offender registrations or an equivalent version of background or registered sex offender checks in your local jurisdiction (if available).
  By using the Site, Application or Services, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused you harm. You agree not to attempt to impose liability on or seek any legal remedy from LA Rent with respect to such actions or omissions. Accordingly, we encourage you to communicate directly with other Members on the Site and Services regarding any bookings or Listings made by you.
2. Account Registration
  In order to access certain features of the Site and Application, and to book an Accommodation, you must register to create an account and become a Member.
  Your Account and your profile page will be created for your use of the Site and Application based upon the personal information you provide to us. You may not have more than one (1) active Account. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. LA Rent reserves the right to terminate your LA Rent Account without explaining the reason.
  You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your LA Rent Account, whether or not you have authorized such activities or actions. You will immediately notify LA Rent of any unauthorized or improper use of your LA Rent Account.
3. Accommodation Listings
  By making a reservation at LA Rent listing, you agree to enter in to a sixty-day fixed-term room rental agreement as a subtenant between you and LA Rent, and agree to follow the house rules for the duration of your reservation.
  However, we want you to be able to see if you like our room and therefore we offer you an opportunity to use a trial period after which you can decide whether to use the entire contract. Your stay is a trial period that starts at 3 PM on the check-in day and ends no later than 10:00 AM of the last day of the trial period.
  The minimum duration of this period is set in the listing description (usually 3 nights), and the maximum is at your choice. Your trial period must be pre-paid in full prior to arrival. We only accept payment via PayPal.
  If you want to stay for the entire term of the contract, you must inform us about this by email at contact@laroomfinder.com and make full payment no later than 48 hours before the end of the trial period. If we do not receive a message or full payment is not made, this means that you have terminated the contract. No later than 10 AM of the last day of the trial period you must vacate and return to LA Rent the possession of the leased premises. In this case, no additional financial or other obligations arise.
  If your trial period is 30 nights or less, we will add 14% Los Angeles transient occupancy tax (TOT) to the cost of your stay. If you stay for the entire duration of the contract, the tax will be canceled and the amount will be taken into account when paying the remaining balance of the contract.
  OCCUPANCY
  You agree that no more than number of guests set in the listing description shall be permitted on the Property at any time during the rental term, all of whom shall comply with the conditions and restrictions imposed upon you under this agreement. No more than 2 overnight adult guests (18+) are allowed per habitable room.
  CONDITION AND USE OF PROPERTY
  All listings are provided in “as is” condition. LA Rent uses its best efforts to ensure the operation of all amenities in the listing, such as internet access, satellite or cable TV access or hot tubs, fireplaces as applicable. LA Rent shall not be held responsible for such items failure to work, but will make every effort to correct any issues as reported as quickly as possible. You acknowledge that use of amenities such as hot tubs, pools, spas, fireplaces, decks, and the like may be potentially dangerous and involve potential risks if improperly used, particularly with regard to children and such use is at your own risk.
  You shall use the listing for residential purposes only and in a careful manner to prevent any damage or loss to the property and keep the property in clean and sanitary condition at all times. You and any additional permitted guests shall refrain from loud noise and shall not disturb, annoy, endanger, or inconvenience neighbors, nor shall you use the property for any immoral, offensive or unlawful purposes, nor violate any law, association rules or ordinance, nor commit waste or nuisance on or about the property.
  DEFAULT
  If you should fail to comply with the conditions and obligations of this agreement, you shall surrender the property, remove all your property and belongings and leave the property in good order and free of damage. No refund of any portion of the Total Rental Fee shall be made and if any legal action is necessary, the prevailing party shall be entitled to reimbursement from the other party for all costs incurred.
  ASSIGNMENT OR SUBLEASE
  You shall not assign or sublease the listing or permit the use of any portion of the property by other persons who are not family members or your guests and included within the number of and as permitted occupants under this Agreement.
  RISK OF LOSS AND INDEMNIFICATION
  You agree that all personal property, furnishings, personal affects and other items brought into the Property by you or your guests and visitors shall be at your sole risk with regard to any theft, damage, destruction or other loss and LA Rent shall not be responsible or liable for any reason whatsoever.
  You hereby covenant and agree to indemnify and hold harmless LA Rent and its agents, owners, successors, employees and contractors from and against any costs, damages, liabilities, claims, legal fees and other actions for any damages, costs, attorneys fees incurred by you, permitted guests, visitors or agents, representatives or successors of you due to any claims relating to destruction of property or injury to persons or loss of life sustained by you or family and visitors of you in or about the property and you expressly agree to save and hold LA Rent harmless in all such cases.
  ENTRY AND INSPECTION
  LA Rent reserves the right to enter the property at reasonable times and with reasonable advance notice for the purposes of inspecting the property or showing the property to prospective purchasers, renters or other authorized persons. If LA Rent has a reasonable belief that there is imminent danger to any person or property, LA Rent may enter the property without advance notice.
  UNAVAILABILITY OF PROPERTY
  In the event the property is not available for use during the rental term due to reasons, events or circumstances beyond the control of LA Rent, LA Rent will apply due diligence and good faith efforts to locate a replacement property that equals or exceeds the property with respect to occupancy capacity, location and value that meets your reasonable satisfaction. If such replacement property cannot be found and made available, LA Rent shall immediately return all payments made by you, whereupon this agreement shall be terminated and you and LA Rent shall have no further obligations or liabilities in any manner pertaining to this agreement.
  PARKING
  Some listings offer parking. For restrictions please refer to the listing description. Parking is at your own risk. If you use a parking space, you certify that your vehicle is properly insured.
4. Financial Terms
  You agree to pay the Total Fees (Total) amount that may include Los Angeles transient occupancy tax and other fees. All payments must be made via PayPal.
  The Total payable will be displayed to you before you send a booking request. LA Rent is required to either confirm or reject the booking request within the booking request period; otherwise, the requested booking will be automatically cancelled, and any amounts collected by LA Rent from you will be refunded to you.
  Once your confirmed booking transaction is complete, you will receive a confirmation email summarizing your confirmed booking.
5. Cancellation and Refund
  If, as a renter, you wish to cancel a confirmed booking made via the Site, Application and Services, either prior to or after arriving at the accommodation, our cancellation policy will apply to such cancellation.
  To cancel the rental agreement you have to send an email at contact@laroomfinder.com. The local Los Angeles time of receipt of the email will be considered as the time of your cancellation.
  - 100% refund if cancel 3 full days (72 hours) before check-in time
  - If cancel less than 3 full days (72 hours) before check-in time, or in case of no-show at the property, we’ll keep payment for 3 unused nights
  Please note that if you send notification after 3PM local Los Angeles time, that night will be considered used.
  Los Angeles transient occupancy tax will be refunded for all unused nights.
  In certain circumstances, LA Rent may decide, in its sole discretion, that it is necessary or desirable to cancel a confirmed booking made via the Site, Application or Services. This may be done for any reason in the judgment of LA Rent in its sole discretion. LA Rent may also determine, in its sole discretion, to refund to you part or all of the amounts charged to you. You agree that LA Rent and you, as applicable, will not have any liability for such cancellations or refunds.
6. Damage to Accommodations and Security Deposits
  As a Renter, you are responsible for leaving the accommodation in the condition it was in when you arrived. You acknowledge and agree that, as a Renter, you are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals whom you invite to, or otherwise provide access to, the accommodation. In the event that LA Rent claims otherwise and provides you evidence of damage, including but not limited to photographs, you agree to pay the cost of replacing the damaged items with equivalent items.
  You shall inspect the accommodation immediately upon arrival and report any deficiencies found to LA Rent.
  LA Rent may include security deposit in its listings. If there are no claims, we will initiate a refund of the deposit within 48 hours after the end of the contract and the return of the accommodation to LA Rent.
7. User Conduct
  You agree to follow the house rules for the duration of the reservation.
  - No smoking.
  - No pets.
  - No parties or events.
  - Quiet hours 10 pm-8am.
  - No food in bedroom.
  - No cooking foods with strong odors.
  - Clean up after yourself.
  - Children are prohibited from playing in the hallways or common areas.
  - No children under the age of twelve (12) years are to be left unattended in the rental unit or on the grounds.
  - We assume no responsibility for accepting deliveries of packages, mail, etc. on behalf of any renter.
  - Hallways and common areas are to be kept clear of clutter. No personal items may be kept or stored in the hallways, stairways, or other common areas in or about the premises.
  - Littering the grounds, landscaping and parking areas is strictly prohibited.
  You understand and agree that you are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Site, Application, and Services. In connection with your use of the Site, Application, and Services, you may not and you agree that you will not:
  violate any local, municipal, state, provincial, national, or other law;
  use manual or automated software, devices, scripts, robots, backdoors or other means or processes to access, “scrape,” “crawl” or “spider” any web pages or other Services contained in the Site, Application, and Services;
  access or use our Site, Application, and Services to use, expose, or allow to be used or exposed, any LA Rent content: (a) that is not publicly displayed by LA Rent in its search results pages or listing pages before a booking is confirmed; (b) in any way that is inconsistent with the LA Rent privacy policy or terms; (c) in any way that otherwise violates the privacy rights or any other rights of LA Rent’s users or any other third party; or (d) in any way violates or infringes any third-party, intellectual property, publicity or privacy rights, including rights with respect to SNS Content;
  use the Site, Application, and Services for any commercial or other purposes that are not expressly permitted by these terms or in a manner that falsely implies LA Rent endorsement, partnership or otherwise misleads others as to your affiliation with LA Rent;
  copy, store or otherwise access or use any information contained on the Site, Application, and Services for purposes not expressly permitted by these terms;
  infringe the rights of LA Rent or the rights of any other person or entity, including without limitation, their intellectual property, privacy, publicity or contractual right;
  interfere with or damage our Site, Application or Services, including, without limitation, through the use of viruses, cancel bots, trojan horses, harmful code, flood pings, denial-of-service attacks, backdoors, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
  use our Site, Application or Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal information or personally identifiable information, including contact information or credit, debit, calling card or account numbers;
  use our Site, Application, and Services in connection with the distribution of unsolicited commercial email or advertisements unrelated to lodging in a private residence;
  “stalk” or harass any other user of our Site, Application, and Services, or collect or store any personally identifiable information about any other user other than for purposes of transacting as a LA Rent Renter;
  register for more than one LA Rent account or register for a LA Rent account on behalf of an individual other than yourself;
  request or enter into contract for any accommodation if you will not actually be a renter at the accommodation yourself;
  impersonate any person or entity, or falsify or otherwise misrepresent yourself, your name, or your affiliation with any person or entity;
  use automated scripts to collect information from or otherwise interact with the Site, Application, and Services;
  engage in any illegal, immoral, discriminatory, disruptive, circumventive, abusive or harassing behavior in any area or aspect of our Site, Application, or Services;
  access, tamper with, or use non-public areas of the Site, Application or Services, LA Rent’s computer systems, or the technical delivery systems of LA Rent’s providers;
  attempt to probe, scan, or test the vulnerability of any LA Rent system or network, or breach, avoid or evade any security or authentication measures;
  avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by LA Rent or any of LA Rent’s providers or any other third party (including another user) to protect the Site, Application, and Services;
  attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site, Application, and Services;
  advocate, encourage, or assist any third party in doing any of the foregoing;
  LA Rent has the right to investigate and prosecute violations of any of the above to the fullest extent of the law. In addition, and as set in these terms, LA Rent may take a range of actions against you, including but not limited to cancel your account, for a violation of this Section or these Terms.
  LA Rent may access, preserve and disclose any of your information if we are required to do so by law, or if we believe in good faith that it is reasonably necessary to (a) respond to claims asserted against LA Rent or to comply with legal process (for example, subpoenas or warrants), (b) enforce or administer our agreements with users (c) for fraud prevention, risk assessment, investigation, customer support, product development and debugging purposes, or (d) protect the rights, property or safety of LA Rent, its users, or members of the public. You acknowledge that LA Rent has no obligation to monitor your access to or use of the Site, Application, and Services or to review or edit any member content, but has the right to do so for the purpose of operating and improving the Site, Application and Services (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes), to ensure your compliance with these terms, to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body, to respond to content that it determines is otherwise objectionable or as set forth in these terms. LA Rent reserves the right, at any time and without prior notice, to remove or disable access to, or change any content that LA Rent, at its sole discretion, considers to be objectionable for any reason, in violation of these terms or otherwise harmful to the Site, Application or Services.
8. Intellectual Property Ownership and Rights Notices
  You acknowledge and agree that the Site, Application, and Services, including all associated intellectual property rights, are the exclusive property of LA Rent. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or powering the Site, Application, and Services. All trademarks, service marks, logos, trade names, and any other proprietary designations of LA Rent used on or in connection with the Site, Application, and Services are trademarks or registered trademarks of LA Rent in the US and abroad. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the Site, Application, and Services are used for identification purposes only and may be the property of their respective owners. LA Rent respects the intellectual property rights of others and expects users of the Service to do the same. LA Rent complies with the federal Digital Millennium Copyright Act, the text of which may be found on the U.S. Copyright Office Website at http://www.copyright.gov/legislation/dmca.pdf. LA Rent will respond to notices of alleged copyright infringement that comply with the DMCA and other applicable law and are properly provided to us.
9. Links
  The Site, Application and Services may contain links to third-party websites or resources. You acknowledge and agree that LA Rent is not responsible or liable for: (a) the availability or accuracy of such websites or resources; or (b) the content, products, or Services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by LA Rent of such websites or resources or the content, products, or Services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the Content, products or Services on or available from such websites or resources.
  Some portions of the LA Rent website implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to Google’s terms of use.
10. Disclaimers
  If you choose to use the Site, Application, and Services, you do so at your sole risk. You acknowledge and agree that LA Rent does not have an obligation to conduct background or registered sex offender checks on any Renter, but may conduct such background or registered sex offender checks in its sole discretion. If we choose to conduct such checks, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a user or guarantee that a user will not engage in misconduct in the future.
  The Site, Application, and Services are provided “as is”, without warranty of any kind, either express or implied. Without limiting the foregoing, LA Rent explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of course of dealing or usage of trade. LA Rent makes no warranty that the Site, Application, and Services, including, but not limited to, the listings, will meet your requirements.
  You agree that LA Rent has no special relationship with, or fiduciary duty to you. You acknowledge that LA Rent has no control over, and no duty to take any action regarding: (a) which individuals, companies or other entities gain access to or use the service, (b) the content that you may access via the service, (c) the effect the content may have on you, (d) how you or other individuals may interpret or use the content, or (e) the actions you or other users or providers may take as a result of having been exposed to the content.
11. Limitation of Liability
  You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Site, Application, and Services, and any contact you have with other users of LA Rent whether in person or online remains with you. Neither LA Rent nor any other party involved in creating the Site, Application, and Services will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or Services, or for any damages for personal or bodily injury or emotional distress arising out of, related to, or in connection with these terms, from the use of or inability to use the Site, Application, and Services, from any communications, interactions or meetings with other users of the Site, Application, or Services or other persons with whom you communicate or interact as a result of your use of the Site, Application, and Services, or from your Listing or booking of any accommodation via the Site, Application and Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, including personal injury, death, property damage, injury or death of third persons (whether guests or business invitees), or emotional distress, whether caused by LA Rent, Renter or a third party, and whether or not LA Rent has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
  In no event will LA Rent’s aggregate liability arising out of, related to, or in connection with these terms and your use of the Site, Application and Services including, but not limited to, from your booking of any accommodation via the Site, Application and Services, or from the use of or inability to use the Site, Application, and Services.
12. Indemnification
  You agree to release, defend, indemnify, and hold LA Rent and its affiliates and subsidiaries, and their owners, officers, directors, successors, employees, agents and contractors, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of, related to, or in any way connected with (a) your access to or use of the Site, Application, and Services or your violation of these terms; (b) your member content; (c) your (i) interaction with any member, or (ii) renting of an accommodation, and (d) the use, condition or rental of an accommodation by you, including but not limited to any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising out of, related to, in connection with or as a result of a rental or use of an accommodation.
  You hereby acknowledge that you are aware of California Civil Code Section 1542, which provides as follows:
  A general release does not extend to claims which the creditor does not know or suspect to exist in his/her favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.
  With full awareness and understanding of the above provisions, you hereby waive any rights you may have under Section 1542, as well as under any other statutes or common law principles of similar effect.
13. Export Control and Restricted Countries
  You may not use, export, re-export, import, or transfer the Site except as authorized by United States law, the laws of the jurisdiction in which you obtained the Site, and any other applicable laws. In particular, but without limitation, the Site may not be exported or re-exported: (a) into any United States embargoed countries; or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List. By using the Site, Application and Services, you represent and warrant that you are not listed on any U.S. Government list of prohibited or restricted parties. You also will not use the Site, Application and Services for any purpose prohibited by U.S. law, including the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction.
14. Arbitration
  If we are unable to resolve the dispute informally, we each agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of, in connection with or relating to these terms of use by binding arbitration. If you are an individual you may opt out of this Arbitration Agreement within 30 days of the first of the date you access or use the Service by sending an email to contact@laroomfinder.com.
  Arbitration is more informal than a lawsuit in court. There is no judge or jury in arbitration. Instead, the dispute is resolved by a neutral arbitrator. Court review of an arbitration award is limited. Except to the extent the parties agree otherwise, arbitrators can award the same damages and relief that a court can award. You agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and LA Rent are each waiving the right to a trial by jury or to participate in a class action, to the maximum extent permitted by law. This Arbitration Agreement will survive any termination of these terms.
  If you intend to seek arbitration, after following the informal dispute resolution procedure, you must first send written notice to LA Rent of your intent to arbitrate. The notice to LA Rent should be sent by emailing the notice to contact@laroomfinder.com.
  The notice must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought. The arbitration will be administered by the International Institute for Conflict Prevention and Resolution under the CPR Rules for administered arbitration by a single arbitrator. The arbitration will be conducted in the City and County of Los Angeles, California, United States.
  Each party will be responsible for paying any CPR, administrative and arbitrator fees (other than the initial filing fees) in accordance with CPR Rules, if your claim for damages does not exceed $75,000 and is non-frivolous (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)). Nothing in this Arbitration Agreement shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Service.
  All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class guest in any purported class or representative proceeding, and, unless we agree otherwise, the arbitrator may not consolidate more than one person claims. You agree that, by entering into these terms of use, you and LA Rent are each waiving the right to a trial jury or to participate in a class action.
  If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then the entirety of this Arbitration Agreement will be null and void.
  If for any reason a claim proceeds in court rather than in arbitration, the dispute will be governed exclusively and irrevocably by the laws of the State of California and the FAA without regard to or application of its conflict of law provisions or your state or country of residence, and will be brought solely in the federal or state courts located in Los Angeles, California, United States. You irrevocably consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.
15. Entire Agreement
  Except as they may be supplemented by additional LA Rent policies, guidelines, standards, or terms for a specific product, feature, service or offering (including, without limitation, the LA Rent Privacy Policy), these Terms constitute the entire and exclusive understanding and agreement between LA Rent and you regarding the Site, Application, and Services, and any bookings or listings of accommodations made via the Site, Application and Services, and these terms supersede and replace any and all prior oral or written understandings or agreements between LA Rent and you regarding bookings or listings of accommodations, the Site, Application, and Services.
16. Assignment
  You may not assign or transfer these terms, by operation of law or otherwise, without LA Rent’s prior written consent. Any attempt by you to assign or transfer these terms, without such consent, will be null and of no effect. LA Rent may assign or transfer these terms, at its sole discretion, without restriction. Subject to the foregoing, these terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
17. Notices
  Any notices or other communications permitted or required hereunder, including those regarding modifications to these terms, will be in writing and given by LA Rent (a) via email (in each case to the address that you provide) or (b) by posting to the Site or via the Application. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
18. General
  The failure of LA Rent to enforce any right or provision of these terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of LA Rent. Except as expressly set forth in these terms, the exercise by either party of any of its remedies under these terms will be without prejudice to its other remedies under these terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these terms will remain in full force and effect.
  These terms do not and are not intended to confer any rights or remedies upon any person other than the parties.
